1. Acceptance of Terms
By signing up for, accessing, or using any ZingPay product or service ("Service"), you ("Merchant" or "User") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and PayAxis Private Limited ("ZingPay", "we", "us", or "our").
If you do not agree to these Terms, you may not use the Service. By clicking "I Agree", completing our onboarding, or using the API, you confirm your acceptance.
2. Eligibility
To use ZingPay, you must:
- Be at least 18 years of age
- Be a registered business entity or individual entrepreneur operating legally in India (or permitted international jurisdiction)
- Not be on any RBI, SEBI, or government watchlist
- Not operate a business in our prohibited categories (Section 9)
- Provide accurate and complete KYC documentation
3. Account Registration & KYC
You agree to:
- Provide accurate, current, and complete information during registration
- Submit all KYC documents as required under RBI Payment Aggregator guidelines
- Notify us immediately of any material change to your business (ownership, address, nature of business)
- Maintain the security of your API keys and dashboard credentials
We reserve the right to suspend or terminate your account if KYC documents are found to be fraudulent or incomplete.
4. Payment Processing
ZingPay will process payments on your behalf subject to:
- Successful KYC verification and account activation
- Your business remaining in good standing with applicable laws
- Transaction amounts not exceeding approved limits
- No evidence of fraudulent activity or chargeback abuse
We reserve the right to refuse processing of any transaction that we reasonably believe to be fraudulent, illegal, or in violation of these Terms.
5. Settlement
- Standard settlement cycle is T+1 (next business day) unless otherwise agreed in writing.
- Settlement may be delayed or withheld if there are unresolved disputes, chargebacks, fraud investigations, or regulatory holds.
- ZingPay may maintain a rolling reserve of up to 5% of monthly GMV for high-risk merchants to cover potential chargebacks.
- All settlements are in Indian Rupees (INR) unless a foreign currency settlement agreement is in place.
6. Fees
- Transaction fees are as per your agreed pricing schedule. Current standard rates are available on our pricing page.
- GST at 18% is applicable on all transaction fees.
- Fees are deducted at source before settlement.
- We reserve the right to revise fees with 30 days' written notice.
- No setup fees or annual maintenance fees unless separately agreed.
7. Refunds & Chargebacks
- You are solely responsible for your refund policy. ZingPay provides the technical mechanism to process refunds.
- Refunds must be initiated within 180 days of the original transaction.
- Chargeback disputes are handled as per card network rules (Visa/Mastercard/RuPay dispute resolution timelines).
- A chargeback fee of ₹500 per disputed transaction may be charged.
- Merchants with a chargeback rate exceeding 1% may face account suspension.
8. Merchant Obligations
You agree to:
- Display your refund, cancellation, and shipping policies clearly to customers before payment
- Not use ZingPay for personal payments unrelated to your declared business
- Maintain adequate records of transactions and provide them on request
- Comply with all applicable laws including Consumer Protection Act, IT Act, FEMA, GST, and RBI guidelines
- Not engage in deceptive, misleading, or fraudulent practices toward customers
- Promptly respond to customer complaints and dispute resolution requests
9. Prohibited Business Categories
ZingPay does not support businesses engaged in:
- Illegal drugs, narcotics, or controlled substances
- Child sexual abuse material (CSAM) or any illegal content
- Unlicensed gambling or betting (licensed operators with applicable permits may apply for high-risk onboarding)
- Ponzi schemes, multi-level marketing without proper licensing, or pyramid schemes
- Sale of counterfeit or stolen goods
- Weapons, ammunition, or explosive materials without appropriate licensing
- Human trafficking or exploitation
- Any activity prohibited under Indian law or RBI guidelines
10. API Usage
- API keys are confidential. Do not expose them in client-side code or public repositories.
- Rate limits apply per API key (details in API documentation). Abuse may result in suspension.
- You are responsible for all activity under your API keys.
- Reverse engineering, scraping, or attempting to compromise our infrastructure is strictly prohibited.
11. Intellectual Property
All ZingPay trademarks, logos, product names, and software are the property of PayAxis Private Limited. You may not use our branding except as expressly permitted in writing. You grant us a non-exclusive licence to display your logo on our merchant page / case studies with your consent.
12. Limitation of Liability
To the maximum extent permitted by law, ZingPay shall not be liable for:
- Indirect, incidental, or consequential damages arising from use of our Service
- Loss of revenue, profits, or data beyond the transaction amount in dispute
- Downtime or service interruptions beyond our 99.9% SLA (force majeure events excluded)
Our aggregate liability to you shall not exceed the total fees paid to ZingPay in the 3 months preceding the claim.
13. Indemnification
You agree to indemnify and hold ZingPay harmless from any claims, losses, or damages (including legal fees) arising from: your violation of these Terms; your products or services; your use of the Service; or any third-party claims by your customers related to your business.
14. Termination
- Either party may terminate the agreement with 30 days' written notice.
- ZingPay may suspend or terminate immediately for violations of these Terms, fraud, or regulatory directives.
- On termination, all pending settlements will be paid out after a 90-day reserve period to cover chargebacks.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably. Unresolved disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via email at least 14 days before taking effect. Continued use of the Service constitutes acceptance of the revised Terms.
